Overview:
As we look towards the future, we need to talk about our collective hopes, dreams, and vision for our special piece of land. 2028 will be the 50 year anniversary of SAWUURA! The SAWUURA board would like to host some opportunities for conversations to plan ahead for the coming years and decades.
The March meeting will be a Membership Special Meeting called by the board for two purposes. One is to update some language in our bylaws regarding notices for annual meetings and how many board members we need. Our current bylaws state that annual meeting notices need to be snail-mailed, and we’d like to change that to reflect the new digital era where email and social media are the preferred forms of communication. We would also like to decrease the required size of the board from 9 to 5-7. It is increasingly difficult to find volunteers to fill out a 9-person board, and we feel we can be effective with fewer members, but still invite SAWUURA members onto working groups that handle camp’s functioning. The proposed changes are specified below.
After discussing the bylaws changes, the March meeting will be dedicated to visioning conversation led by the Board president.
Proposed Bylaw Changes:
ARTICLE IV: MEMBERSHIP MEETINGS
Original: Section 3: Notice of Meetings. It shall be the duty of the Secretary to prepare and mail to the last known address of each membership a notice of each annual or special meeting of the members of SAWUURA. The notice shall state whether it is an annual or special meeting. If the latter, it shall also state the purpose for which the meeting is being called. The notices shall be postmarked not less than ten nor more than thirty days in advance of annual or special meetings. The notices shall state the time and place of the meeting. The mailing of notices in the manner required by this section shall be considered notice served.
New Language: Section 3: Notice of Meetings. The notice shall state whether it is an annual or special meeting. If the latter, it shall also state the purpose for which the meeting is being called. The notices shall be sent no less than ten nor more than thirty days in advance of annual or special meetings. The notices shall state the time and place of the meeting. The sending of notices in the manner required by this section shall be considered notice served.
ARTICLE V – BOARD OF TRUSTEES
Original: Section 1. Number and Powers: The corporate powers, business, and property of SAWUURA shall be exercised, conducted and controlled by a Board of nine Trustees. One Trustee shall be elected or appointed by the Unitarian Universalist Congregation of Phoenix, and shall be a member of said congregation. Eight Trustees shall be elected by the membership, all of whom shall be members of both SAWUURA and a Unitarian Universalist congregation. In addition to the powers and authority expressly conferred upon them by the articles of Incorporation, the Board may exercise such other powers and do all such lawful acts and things as ore not by law or elsewhere in these Bylaws directed or required to be exercised or done by the membership.
